Client Work Product: For custom development projects, intellectual property rights to deliverables are transferred to clients upon full payment according to the terms specified in individual service agreements.

Payment and Billing

Payment Terms: If our services require payment, you agree to pay all applicable fees, charges, and expenses as specified in your service agreement or invoice. Payment terms, including due dates and accepted payment methods, will be clearly communicated before services commence.

Payment Processing: Payments are processed securely through trusted payment processors. Vinsoft Technologies does not store your complete credit card information on our servers. All financial transactions are encrypted and handled according to PCI-DSS compliance standards.

Late Payments: Invoices not paid by the due date may be subject to late fees as specified in your service agreement. Vinsoft Technologies reserves the right to suspend services for accounts with outstanding balances.

Refunds: Refund policies vary by service type and are specified in individual service agreements. Generally, payments for completed work or services already rendered are non-refundable. Disputes regarding billing should be reported within 30 days of invoice date.

Confidentiality

Vinsoft Technologies respects the confidential nature of client information. We agree to maintain confidentiality of proprietary information, trade secrets, and sensitive business data shared during the course of our business relationship. Our employees and contractors are bound by confidentiality agreements.

Clients likewise agree to maintain confidentiality of any proprietary methodologies, processes, or confidential information disclosed by Vinsoft Technologies during service delivery.

Non-Disclosure Agreements (NDAs) can be executed upon request for additional protection of sensitive projects or information.

Disclaimer of Warranties

Our platform and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to conflict of law principles.

Dispute Resolution: In the event of any dispute, claim, or controversy arising from or relating to these Terms of Service or our services, the parties agree to first attempt resolution through good faith negotiation. If negotiation does not resolve the dispute within thirty (30) days, the dispute shall be resolved through binding arbitration in Houston, Texas, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

Jurisdiction: For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

Force Majeure

Vinsoft Technologies shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet outages, power failures, or any other unforeseen events that prevent us from fulfilling our obligations.

Independent Contractors

Nothing in these Terms of Service creates a partnership, joint venture, agency, or employment relationship between you and Vinsoft Technologies. Both parties are independent contractors with respect to each other.

Severability

If any provision of these Terms of Service is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and Vinsoft Technologies regarding your use of our platform and services, superseding any prior agreements or understandings.
